1. Agreement to Terms
By accessing our website at www.intelian.in or engaging the services of Intelian Solutions, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.
These terms apply to Sagar Kadam Services Limited, trading as Intelian Solutions, with registered operations in Jersey, United Kingdom, and Pune, India.
2. Our Services
Intelian Solutions provides technology consulting and development services including Custom Software Development, Cloud and DevOps Solutions, Digital Marketing, and AI Solutions. The specific scope, deliverables, timelines, and fees for each engagement are set out in a separate Statement of Work or service agreement signed by both parties.
We reserve the right to modify or discontinue any service or website feature at any time without notice.
3. Use of Our Website
You may use our website for lawful purposes only. You agree not to:
- Use the site in any way that violates applicable local, national, or international law or regulation
- Transmit unsolicited or unauthorised advertising or promotional material (spam)
- Attempt to gain unauthorised access to any part of our systems or servers
- Engage in any conduct that restricts or inhibits anyone else's use of the website
- Use automated tools to scrape, crawl, or harvest content from this website without prior written consent
We reserve the right to terminate or restrict access to our website for any user who violates these terms.
4. Intellectual Property

For client projects, intellectual property ownership is defined in the individual service agreement. In the absence of a specific agreement, all code, designs, and deliverables created by Intelian Solutions remain the intellectual property of Intelian Solutions until full payment has been received, at which point ownership transfers to the client as specified in the agreement.
You may not reproduce, distribute, or create derivative works from our website content without prior written permission.
5. Client Responsibilities
Where you engage our services, you agree to:
- Provide accurate, complete, and timely information required for us to perform the services
- Designate an authorised representative to make decisions and approvals in a timely manner
- Ensure that any content, data, or materials you provide do not infringe third-party rights
- Obtain any licences or permissions required for third-party materials you provide to us
- Make payments as agreed in your service agreement
Delays caused by failure to fulfil these responsibilities may affect project timelines and deliverables. Intelian Solutions is not liable for delays arising from client inaction.
6. Payment Terms
Payment terms are specified in each individual service agreement or proposal. Unless otherwise agreed:
- A deposit is required before project commencement, as specified in your agreement
- Invoices are due within 14 days of issue
- Late payments may incur interest at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
- Intelian Solutions reserves the right to suspend work on any project where payment is overdue by more than 30 days
All prices are exclusive of VAT or applicable taxes unless stated otherwise. Clients are responsible for any taxes applicable in their jurisdiction.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, technical specifications, financial information, and client data. This obligation continues for two years after the end of the engagement, or indefinitely for trade secrets.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Limitation of Liability
To the fullest extent permitted by law, Intelian Solutions shall not be liable for:
- Indirect, incidental, or consequential losses arising from use of our services or website
- Loss of profit, revenue, data, or business opportunity
- Any losses arising from third-party services, platforms, or tools recommended or integrated as part of our services
Our total liability to you in connection with any claim arising from these terms or our services shall not exceed the total fees paid by you to Intelian Solutions in the three months preceding the claim.
Nothing in these terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by UK law.
9. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of England and Wales, which shall have exclusive jurisdiction.
For clients based in India, disputes may alternatively be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Pune, Maharashtra, India.
